Independent Director's Online Proficiency Test

Under the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2020, every Independent Director and aspiring Independent Director who has served as a Director for less than three years is required to pass the Online Proficiency Self-Assessment Test, subject to applicable exemptions.

The Ministry of Corporate Affairs (MCA), in collaboration with IICA, established the Independent Directors’ Databank under the Companies Act, 2013, to strengthen the effectiveness of Independent Directors as “Agents of Change.”

Eligible individuals seeking appointment or already serving as Independent Directors are required to pass the IICA Online Proficiency Self-Assessment Test with a minimum score of 50%, subject to applicable exemptions.

Designed for Independent, Executive & Non-Executive Directors, CEOs, CFOs, professionals and senior executives aspiring to serve on the Boards of listed, private, government and not-for-profit organisations.

Course Modules

1. Independent Directors’ Databank & Proficiency Test

Overview of the Independent Directors’ Databank, registration requirements, and the Online Proficiency Self-Assessment Test.

2. Companies Act, 2013 & SEBI (LODR) Regulations, 2015

Key provisions governing corporate incorporation, Board functioning, stakeholder engagement, and regulatory compliance.

3. Board Legal Environment & Corporate Governance

Understanding the role, duties, legal responsibilities, liabilities, and governance framework of Directors.

4. Roles & Responsibilities of Independent Directors

Insights into the functions, rights, liabilities, selection criteria, tenure, and limits on directorships, with emphasis on strengthening corporate credibility and governance.

5. Financial Literacy for Directors

Understanding financial statements, accounting concepts, key financial ratios, budgeting, sources of finance, M&A fundamentals, decision-making, internal controls, and early warning signs of financial distress.

6. Mock Test & Exam Preparation

Practice through a mock Independent Directors’ Proficiency Test, followed by discussion and guidance to strengthen exam readiness.
